ABG Sundal Collier: Contemplated sale of shares in Exsitec Holding AB

ABG Sundal Collier AB ("ABG Sundal Collier") and Erik Penser Bank AB ("Penser Bank") have been engaged by Standout Capital I AB ("Standout Capital") to explore the opportunity to sell circa 1.5 million shares to Swedish institutional investors, international institutional investors and Swedish retail investors in an accelerated book-building procedure (the "Placement") in Exsitec Holding AB ("Exsitec" or the "Company").

The price per share in the Placement and the final number of shares to be offered will be determined at the close of the accelerated book-building procedure. The book-building procedure will commence immediately after the publication of this press release and end before the commencement of trading on Nasdaq First North Growth Market on 16 February 2021. The book-building procedure may be cancelled, shortened or closed at any time on short notice at the discretion of ABG Sundal Collier, Penser Bank and Standout Capital. Further announcements will be made following completion of the book-building.

The current ownership interest of Standout Capital in the Company's issued share capital is 42.7%. The Placement represents, in aggregate, approximately 12.8% of the Company's issued ordinary share capital. Standout will continue to be a major shareholder in Exsitec after the Placement.

Standout Capital has entered a lock-up undertaking in favour of Penser Bank encompassing their total holdings in Exsitec, corresponding to 5,000,000 shares. Penser Bank considers the Placement will increase long-term institutional ownership and increase liquidity in Exsitecs share and is therefore willing to grant an exemption from the lock-up undertaking. Standout Capital's remaining shares in the Company after the Placement will remain subject to a lock-up undertaking in favour of Penser Bank until 16 September 2021, save for customary exceptions as well as pledges for financing transactions and waiver by Penser Bank.

ABG Sundal Collier and Penser Bank act as bookrunners in connection with the contemplated Placement.
